Darwynn Operational Update: Looking Ahead While Continuing to Deliver

Over the past several weeks, many of our partners, customers, and industry colleagues have reached out asking what the future holds for Darwynn.

First and foremost, our operations continue exactly as they always have. Our teams across the network remain fully active, supporting hundreds of brands across Canada and the United States with fulfillment, distribution, and last-mile delivery. Orders continue to move, facilities continue to operate, and the same leadership team remains in place guiding the company forward.

As many are aware, Darwynn recently entered a court-supervised restructuring process under the Companies’ Creditors Arrangement Act (CCAA). This process was initiated following a period of governance deadlock at the board level that made it difficult for the company to execute several strategic initiatives and access the capital required for continued growth.

While restructuring processes often attract speculation, the reality inside the company is far more straightforward: our priority remains operational continuity and long-term growth.

Darwynn Ltd. Secures $2 Million of DIP Financing to Support Operations and Restructuring

Darwynn has spent the past several years building a national fulfillment and logistics platform designed to support modern brands selling across multiple channels — from direct-to-consumer e-commerce to major retail distribution. Today, that network supports hundreds of brands and integrates with major commerce platforms, retailers, and carriers across North America.

Even as we work through the restructuring process, we continue to look forward.

One area that has generated particular excitement internally is the continued expansion of our North American footprint. As cross-border commerce between Canada and the United States continues to grow, Darwynn has been actively evaluating opportunities to further strengthen its distribution capabilities within the U.S.

Among the regions currently being explored are key logistics corridors in the southern United States, including the Texas region, which continues to emerge as one of the most important fulfillment and transportation hubs in North America. Expanding our capabilities in these markets could allow Darwynn to better support brands looking to reach customers across both countries with greater speed and efficiency.

For our customers and partners, the message remains simple: the same teams are here, the same service commitments remain, and the same long-term vision continues to guide us forward.

Darwynn has always been built around helping brands scale their operations efficiently across North America. That mission remains unchanged.

As we move through this next chapter, we remain focused on strengthening the company’s foundation while continuing to build the fulfillment network that our customers rely on every day.
