Darwynn Completes Court-Approved Transaction and Enters Next Phase of Growth

CCAA restructuring transaction closes successfully as Darwynn continues operations under the same name, management team and fulfillment network

TORONTO, Ontario – September 10, 2026 – Darwynn Ltd. (“Darwynn” or the “Company”), a Canadian fulfillment technology and logistics company, today confirmed the successful closing of the court-approved transaction involving the sale of its business and assets to 2379338 Ontario Inc., a company owned by Darwynn co-founder and shareholder Guoyin (Wynn) Xie.

The transaction marks the completion of the Company’s restructuring process under the Companies’ Creditors Arrangement Act (“CCAA”) and provides Darwynn with a stable foundation for its next phase of growth.

The transaction was approved by the Ontario Superior Court of Justice (Commercial List) on August 6, 2026, following a Court-approved sale and investment solicitation process conducted by Ernst & Young Inc., in its capacity as Court-appointed Monitor. The transaction closed on August 18, 2026.

Throughout the process, Darwynn continued operating without interruption.

The Company’s fulfillment centres remained open, customer orders continued to be received, stored, picked, packed and shipped, and Darwynn’s technology platforms, integrations and customer service operations remained active.

Darwynn continues to operate under the Darwynn name and existing management team, with fulfillment operations across Ontario, British Columbia, Alberta and Quebec. Customer accounts, systems, integrations and existing service arrangements continue as normal.

Business continuity remained the priority

Maintaining continuity for customers was the Company’s primary operational objective throughout the restructuring process.

Despite the circumstances surrounding the proceedings, Darwynn continued serving its customers across ecommerce, retail, marketplace and wholesale channels while maintaining normal warehouse and fulfillment operations.

The acquisition by 2379338 Ontario Inc. maintains continuity with Darwynn’s founding ownership while allowing the business to move forward from the restructuring process with renewed stability.

Darwynn continues operating across Canada

Darwynn continues to provide fulfillment services through its network across Ontario, British Columbia, Alberta and Quebec, alongside U.S. fulfillment capabilities through its partner network.

The Company supports brands across direct-to-consumer, retail, wholesale and marketplace channels, including businesses requiring multi-warehouse inventory management, retail compliance, EDI, Amazon fulfillment and cross-border logistics.

There are no changes to how existing customers access Darwynn’s services, systems or fulfillment operations as a result of the transaction.
