Darwynn Announces Court-Approved SISP and $7.5 Million Stalking Horse Bid

TORONTO, ON CANADA / April 17, 2026 / Darwynn Ltd. (“Darwynn” or the “Company”) today announced that the Ontario Superior Court of Justice (Commercial List) (the “Court”) has granted an order (the “SISP Order”) in the Companies’ Creditors Arrangement Act proceedings, which, among other things: (a) approved a sale and investment solicitation process (the “SISP”); and (b) approved a “Stalking Horse Bid” from the Company’s largest shareholder, 2379338 Ontario Inc. (“237 Ontario”).  

The SISP intends to solicit interest in a sale of the Company’s property or investment in the Company’s business on an “as is, where is” basis. The SISP is a two-phase process and will be conducted by Ernst & Young Inc. in its capacity as Court-appointed Monitor of the Company.
